Jon B. Kutler, Chairman, Chief Executive Officer and Founder

Jon B. Kutler Jon B. Kutler is Chairman, Chief Executive Officer and Founder of Quarterdeck Investment Partners, LLC. Based in Los Angeles, he is responsible for the strategic direction of the firm and is heavily involved with clients on a daily basis. In addition, he serves as Chairman of Quarterdeck Equity Partners, Inc.

Mr. Kutler began his investment banking career on Wall Street in 1984, after serving ten years in various positions in the U.S. Navy. He has worked with Goldman Sachs, The First Boston Corporation and was Managing Director in charge of the West Coast office and international aerospace/defense practice of Wasserstein, Perella & Co., an international merchant banking firm.

Mr. Kutler is a nationally recognized expert in the field of aerospace and defense. His articles on consolidation, restructuring and defense conversion have appeared in Business Week, The New York Times, Fortune, The Los Angeles Times, Defense News and Aviation Week & Space Technology. Mr. Kutler has testified before numerous Congressional committees, has served as Chairman of the White House Small Business Task Force on Defense Conversion and a member of an advisory panel established by the Congressional Office of Technology Assessment to evaluate the status of the space launch vehicle industry.

Mr. Kutler is a graduate of the United States Naval Academy and holds a bachelor of science degree in Naval architecture. He received his master's of business administration degree from Harvard University.

Mark J. Carmen, Managing Director, New York

Mark J. CarmenMark Carmen joined Quarterdeck Investment Partners, LLC as a Managing Director in the New York office in December 2002. He was previously co-head of the aerospace, defense and government services investment banking team at Jefferies & Company, Inc., which he joined in 1995. During his 11 years in investment banking, Mr. Carmen has led both public and private debt and equity financings, mergers and acquisitions in aerospace and defense, business services, government services and information technology sectors. Prior to joining Jefferies, Mr. Carmen worked at Mabon Securities Corp. where he had primary responsibility for financings and mergers and acquisitions in the health care services and IT sectors. Mr. Carmen holds a Bachelor of Arts degree in Economics from Brandeis University and a Master of Business Administration degree from the Columbia University Graduate School of Business.

Robert T. Hinaman, Managing Director

Robert T. HinamanBob Hinaman joined Quarterdeck Investment Partners in September 2002 as a Managing Director in the Washington D.C. office. He is responsible for generating new global business opportunities in the aerospace, defense and federal information technology sectors.

Mr. Hinaman has over 20 years of investment banking experience in global mergers and acquisitions and international capital markets. Prior to relocating to the US, Mr. Hinaman was Managing Director in Global Mergers and Acquisitions for Chase Manhattan in London and Frankfurt. He was responsible for mergers and acquisitions for aerospace and defense in Europe, as well as a number of other industry segments. In addition, he developed and led Chase's M&A presence in Germany. He held similar responsibilities as Managing Director for Chemical Bank in London before its merger with Chase. Since his move to the Washington D.C. area, he has served on the boards of a number of public and private companies, and established a strategic/financial advisory practice.

Mr. Hinaman holds a Bachelor of Arts degree in Economics and Mathematics from Lafayette College, and is also a graduate of the London Business School.

Michael Richter, Managing Director, Los Angeles

Michael Richter Michael Richter is a Managing Director at Quarterdeck Investment Partners in Los Angeles and leads the firm's aerospace and defense industry practice. Prior to joining Quarterdeck, Mr. Richter was Managing Director and head of CIBC World Markets' San Francisco office. He also served as the head of CIBC's Defense Investment Banking Group, focusing on defense electronics, Federal IT services and homeland defense. In the five years he was with CIBC, he sat on the firm's industry team leader and fairness opinion committees.

Before beginning his investment banking career, Mr. Richter was a national accounts marketing representative for IBM's mainframe computer division. In the fifteen years since he left the computer business, he managed more than 75 public and private equity and debt transactions for defense electronics and technology companies, totaling more than $12 billion in transaction value. He was Managing Director and group head at Montgomery Securities in San Francisco, and has worked at Kidder, Peabody & Co. in New York and Los Angeles.

Mr. Richter earned his B.A. in Economics from the University of California at Berkeley and his MBA in Finance from the Stern School of Business at New York University.

Paul Edwards, Director, London

Paul Edwards Paul Edwards joined Quarterdeck Investment Partners as director in Spring 2001. Based in London, he brings over fifteen years aerospace and defence industry experience to the role, having held positions at both Smiths Industries plc and British Aerospace Defence plc. Working closely with the QIP's offices in Los Angeles and Washington D.C., Paul is charged with developing the company's European and transatlantic business.

Prior to joining QIP, Paul was vice president for strategic development at Smiths Group Aerospace with a place on the board and responsibility for acquisitions and strategic planning. In addition to his involvement in a number of merger discussions, Paul oversaw seven acquisitions costing over $400m. Prior to that, Paul was vice president for business development (civil division) at Smiths' office in Florida, USA.

Paul also boasts 12 years experience from various roles at British Aerospace Defence including head of strategy and business analysis, where he led a team of 11 and reported to the main board.

He received his Bachelor of Science degree from the University of Manchester.

William Farmer, Managing Director, Washington, DC

William FarmerWilliam Farmer focuses on the government services sector, in which he has over fifteen years of direct industry related experience. He has advised on merger and acquisition transactions in both sell-side and buy-side engagements with a variety of large and middle-market government technology companies.

Mr. Farmer adds extensive industry and transactional expertise to Quarterdeck. Prior to joining the firm in 2000, he was CFO of a government contractor that focused on supplying advanced technology to the defense community. In that position, Mr. Farmer was responsible for restructuring and positioning the company, both financially and operationally, to maximize shareholder value. He has also held senior level positions with Computer Sciences Corporation and SAIC where he worked on strategic acquisitions and large outsourcing deals.

Mr. Farmer holds a Bachelor of Arts degree in Political Science from the University of Maryland and completed Northwestern University's Kellogg Graduate School Strategic Financial Planning program.

Bradley W. Matsik, Senior Vice President, Washington, DC

Bradley Matsik Bradley Matsik joined Quarterdeck in March 2004 as a Senior Vice President in the Washington, DC office focusing on Federal Services companies. Mr. Matsik has spent his entire career providing investment banking services to middle market companies, both public and private. He has led dozens of successfully completed M&A transactions and has also worked with clients in raising equity and debt capital, providing fairness opinions and valuation advice and advising on leveraged buyout transactions.

Prior to joining Quarterdeck, Mr. Matsik spent ten years with Banc of America Securities, most recently as a Principal in the Mergers & Acquisitions Group in San Francisco. In that role, he led the West Coast middle market M&A effort and also was instrumental in the firm's Federal IT services practice. Mr. Matsik also practiced corporate law for one year.

Mr. Matsik holds a BS from the University of South Carolina, a JD from the University of South Carolina School of Law and an MBA from the Goizueta Business School at Emory University.
